- "We," "Us," "Our" refers to Altius Group, a consulting practice based in Bangkok, Thailand.
- "You," "Your," "Client" refers to the individual or organization accessing our website or engaging our services.
- "Services" refers to the consulting engagements, advisory sessions, and related professional services we provide.
- "Website" refers to our online presence at altiusgren.club and associated pages.
- "Agreement" refers to these Terms and Conditions, along with any engagement-specific contracts or statements of work.
2. Acceptance of Terms
By accessing our website or engaging our consulting services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our website or services.
You must be at least eighteen years of age and have the legal capacity to enter into binding agreements to use our services.
For consulting engagements, specific terms will be documented in a separate Statement of Work or Engagement Letter, which will supplement and take precedence over these general terms where applicable.
3. Service Description
Altius Group provides professional business consulting services including:
- Startup Advisory Sessions for founders and early-stage leaders
- Scaling Blueprint Programs for growing organizations
- Enterprise Transformation Engagements for established businesses
- Strategic planning and organizational development consulting
Services are provided on a professional basis in accordance with industry standards. The specific scope, deliverables, timeline, and pricing for each engagement are documented in individual engagement agreements.
Service availability may be limited based on our current capacity. We reserve the right to decline engagement requests that fall outside our areas of expertise or current availability.
4. Client Responsibilities
When engaging our services, you agree to:
- Provide accurate, complete, and timely information necessary for the engagement
- Designate appropriate personnel to participate in workshops, meetings, and collaborative activities
- Make reasonable efforts to implement recommendations within agreed timelines
- Maintain confidentiality of our proprietary methodologies and unpublished materials
- Pay all fees according to the agreed payment schedule
- Notify us promptly of any changes affecting the engagement scope or objectives
- Respect intellectual property rights in our deliverables and materials
5. Intellectual Property Rights
Our Intellectual Property
All content on our website, including text, graphics, logos, methodologies, and software, is owned by or licensed to Altius Group and protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our written permission.
Engagement Deliverables
Upon full payment, you receive a limited, non-exclusive, non-transferable license to use engagement deliverables for your internal business purposes. This license does not include rights to:
- Resell, sublicense, or distribute our work to third parties
- Use our methodologies or frameworks for consulting services to others
- Remove proprietary notices or attributions from documents
Client Materials
You retain ownership of materials and information you provide. By sharing them with us, you grant us a license to use them solely for purposes of delivering consulting services to you.
6. Fees and Payment
Pricing
Fees for our services are stated in Thai Baht (THB) and established in the engagement agreement. Prices listed on our website are subject to change without notice. Once an engagement is confirmed, pricing remains fixed for that engagement unless scope changes are mutually agreed in writing.
Payment Terms
Payment schedules vary by engagement type:
- Advisory Sessions: Full payment required before scheduled session
- Scaling Programs: Typically 50% upfront, 50% at midpoint
- Transformation Engagements: Milestone-based schedule agreed in advance
Payment Methods
We accept bank transfers to our designated business account. Payment details will be provided in your invoice.
Late Payment
Payments not received within fifteen days of the due date may result in suspension of services and additional administrative fees. Continued late payment may result in engagement termination.
7. Confidentiality
Both parties agree to maintain confidentiality regarding:
- Information disclosed during the engagement marked as confidential
- Business strategies, financial data, and proprietary information
- Terms of the engagement agreement and pricing
Confidentiality obligations do not apply to:
- Information already public or that becomes public through no breach of this agreement
- Information independently developed without use of confidential materials
- Information required to be disclosed by law or court order
Confidentiality obligations survive termination of the engagement and continue indefinitely unless otherwise specified.
8. Disclaimers
Professional Services
Our consulting services are provided on a professional, best-efforts basis. While we apply significant expertise and care, we cannot provide outcomes. Business results depend on numerous factors beyond our control, including market conditions, management decisions, and implementation quality.
No Warranties
Services and website content are provided "as is" without warranties of any kind, either express or implied. We do not warrant that:
- Services will meet your specific requirements or expectations
- Recommendations will produce specific financial results
- Our website will be uninterrupted, secure, or error-free
Not Legal, Financial, or Tax Advice
Our consulting services focus on business strategy and operations. We do not provide legal, financial, accounting, or tax advice. You should consult appropriate licensed professionals for matters requiring specialized expertise.
9. Limitation of Liability
To the maximum extent permitted by Thai law, our total liability arising from or related to consulting services or use of our website shall not exceed the total fees paid by you for the specific engagement giving rise to the claim.
We shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Lost profits, revenue, data, or business opportunities
- Costs of substitute services
- Damages resulting from your implementation decisions
- Third-party actions or claims
These limitations apply regardless of the legal theory (contract, tort, negligence, or otherwise) and whether or not we were advised of the possibility of such damages.
10. Indemnification
You agree to indemnify, defend, and hold harmless Altius Group, its consultants, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these terms, misuse of our services, violation of applicable laws, or infringement of third-party rights.
11. Termination
By Client
You may terminate an engagement by providing written notice. Fees for work completed through the termination date remain payable, along with any termination fees specified in the engagement agreement.
By Altius Group
We may terminate an engagement if:
- Payment obligations are not met according to agreed schedules
- You breach confidentiality or intellectual property terms
- You fail to provide necessary information or cooperation
- Circumstances arise that make continuation impractical or unethical
Effects of Termination
Upon termination, we will provide deliverables completed through the termination date. Confidentiality obligations, intellectual property rights, and payment obligations survive termination.
12. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of Thailand. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.
Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation. If resolution cannot be reached within thirty days, either party may pursue legal remedies.
13. Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, government actions, pandemics, strikes, or technical failures. The affected party must notify the other promptly and make reasonable efforts to resume performance.
14. General Provisions
Entire Agreement
These Terms, together with any engagement-specific agreements, constitute the entire agreement between parties and supersede all prior discussions or agreements.
Severability
If any provision is found unenforceable, the remaining provisions remain in full effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
No Waiver
Failure to enforce any provision does not constitute a waiver of that provision or our right to enforce it in the future.
Assignment
You may not assign or transfer your rights under these terms without our written consent. We may assign our rights to an affiliated entity or successor.
Notices
All notices must be in writing and sent to the addresses specified in the engagement agreement or to [email protected].
15. Changes to Terms
We may update these Terms and Conditions periodically. Changes will be posted on our website with an updated "Last Updated" date. Continued use of our services after changes constitutes acceptance of the modified terms.
For active consulting engagements, material changes will not apply retroactively without mutual agreement.
